Sarbanes-Oxley Whistleblower Protections for Employees in California

Section 806 of the federal Sarbanes-Oxley Act allows California employees to sue their employers in federal court if they are wrongly fired or treated unfavorably due to disclosing potentially illegal activity.

  • Work for publicly traded corporations or their subsidiaries or contractors.
  • Report infractions of federal securities laws intended to safeguard public company owners.

California Employees Covered Under Sarbanes-Oxley

In contrast to California employment laws that shield workers from wrongful termination, unlawful constructive termination, or other workplace retribution, the Sarbanes-Oxley whistleblower protection statute exclusively protects those who work for publicly traded companies, including:

  • Companies that fall under this category include public companies whose stock is traded on a public exchange.
  • Subsidiaries or affiliates of public companies whose financial information is included in the consolidated financial statements of the public company. 
  • Companies that work as suppliers or subcontractors to public companies.

Example 1: McMillan is an accountant working for a small business. Less than twenty early-stage investors bought shares of the company’s stock. However, the supply of the corporation is not traded openly.

McMillan develops the suspicion that the company owner is requesting that he and other financial experts misrepresent the company’s financials to outside investors to make it appear more profitable than it is. McMillan decides to tell a couple of the investors about his concerns. The CEO dismissed her a few weeks later.

Because the business is not publicly traded or connected to a public corporation, McMillan does not have the right to file a claim against the organization or the CEO under SOX section 806. 

Example 2: James works in a small financial management firm. His business works only with a sizable publicly traded mutual fund corporation under contract. He alerts a supervisor to financial irregularities at his place of business, and then he is fired without explanation.

Because James works for a contractor to a public corporation, he could be eligible to bring a lawsuit against his employer under the Sarbanes-Oxley whistleblower law.

Types of Whistleblower Activities California Law Protects

The Sarbanes-Oxley Act’s Section 806 forbids employers from retaliating against workers who:

  • Provide information about the suspected violation to a federal regulatory or law enforcement agency, a member or committee of Congress, a supervisor or other employee at the employer with authority to investigate the violation of the law, or 
  • Assist in investigating potential shareholder fraud if they reasonably believe their employer is violating federal laws or regulations to prevent public-company shareholder fraud.

Employees who disclose other legal infractions are not protected by SOX’s whistleblower provision,  including violations of federal or California laws against workplace harassment or discrimination). However, employees who are not covered by Sarbanes-Oxley safeguards may be protected by other whistleblower laws, such as California’s FEHA retaliation law.

When Suspicions of Shareholder Fraud Turn Out to be Wrong

Even if it turns out that your employer did not break any federal securities fraud laws, Sarbanes-whistleblower Oxley’s provision still protects you as long as you had a reasonable belief that it was happening.

When Your Employer had their Valid Reasons to Terminate You

How to File a Lawsuit

According to the Sarbanes-Oxley whistleblower retaliation regulations, your best whistleblower attorney in California must first submit a complaint with the US Secretary of Labor before you can sue your company for unlawful workplace reprisal.  As the Secretary of Labor’s designee, these complaints must be made to the Occupational Safety and Health Administration (OSHA).
